Upper Valley Presents, Inc. offers programs that inspire self-discovery through artistic enrichment and creative expression.
UV Presents was incorporated as a Vermont nonprofit on January 1, 2006. Our EIN is 71-0993579. Its 501c3 status was granted by the Internal Revenue Service on October 24, 2007, retroactive to December 27, 2005. UV Presents' DLN is 17053278016017 and is a 509(a) (2) public charity.
It was conceived based on the model of similar nonprofits who operate their programs in for-profit or municipally owned facilities. UV Presents became the legal entity that took over operation of certain events that were being run privately by Janna & Bruce Genereaux.
Articles of Incorporation - these legally form the corporation, Upper Valley Presents, Inc. under Vermont law and are filed with the state. In this document, the stated purpose of UV Presents is developing and offering general educational programs not otherwise available in the community, fostering interest in the performing arts and informing the public about the importance of the arts in the education of children and their families.
This corporation’s purpose cannot be altered. The articles set forth that the Board of Trustees shall manage the corporation. They also state that the corporation can be dissolved by a vote of 2/3rds of the members.
Bylaws - This document sets forth the mechanism for operating this corporation.
In summary, the members have a meeting once a year and the Trustees meet four times a year (sometime during the first two weeks of January, March, June and October).
Members are interested parties who believe in the mission of UV Presents and are asked to participate either through financial or in-kind means. Members propose new members and/or trustees prior to the annual meeting where the members vote on both. Members have no obligations or liability. Members may remove themselves at will. No proxy voting is allowed and a quorum at the annual membership meeting is set at 10% of listed members. Membership amends the bylaws.
Trustees are the governing body of the nonprofit. They are elected to staggered three year terms by the members. Trustees set policy, staffing, budget and make decisions concerning operations and management of the corporation. Trustees serve voluntarily and have no term limits. A quorum is 51% of trustees and a passing measure must receive a majority of votes. Removal votes have a higher threshold - 2/3rds for passage.
Membership of UV Presents is open to anyone. Trustees must be nominated by members and should be able to give of their time and expertise.
